QommAdd Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and QommVita Inc ("QommAdd," "we," "us," or "our"), governing your access to and use of the QommAdd web and mobile applications and all associated services (collectively, the "Services").
Acceptance of Terms
By accessing, browsing QommAdd.com, or using the QommAdd Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
We recommend that you print or save a copy of these Terms for your records. Your continued use of the Services after any modifications to these Terms constitutes your acceptance of the revised Terms.
Eligibility and Age Restrictions
You must be at least 13 years of age to use the QommAdd Services. If you are old enough to access our Services in your country but not old enough to have the authority to consent to these Terms, your parent or legal guardian must agree to these Terms on your behalf.
By allowing your child to use the Services, you, as a parent or legal guardian, agree to be bound by these Terms and are responsible for your child's activity on the Services.
Your QommAdd Account
You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to delete, change, or reclaim usernames or other identifiers at our sole discretion.
User-Generated Content (UGC)
QommAdd is a platform that enables you to create, upload, post, send, receive, and store content ("User Content").
4.1. Ownership of Your Content
You retain all ownership rights in your User Content. We do not claim any ownership over your User Content.
4.2. License to QommAdd
To operate and provide the Services, you grant QommAdd a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, store, distribute, display, and reformat your User Content as necessary to provide the Services (e.g., displaying messages, storing files, resizing images for mobile devices).
This license also includes the right to sublicense your content to our cloud service providers for hosting purposes.
4.3. Content Standards and Prohibited Content
You are solely responsible for your User Content and for ensuring that you have all necessary rights to post it and grant the licenses herein. You agree not to create, upload, post, or share any User Content that:
- Is illegal, promotes illegal activities, or violates any applicable law or regulation.
- Is abusive, harassing, threatening, defamatory, libelous, fraudulent, or promotes hate speech (including based on race, age, gender, disability, etc.).
- Infringes upon the intellectual property rights (e.g., copyright, trademark) or other proprietary rights of others.
- Contains or distributes malware, viruses, or any other harmful or malicious technology.
- Constitutes spam, phishing, or attempts to steal other users' accounts or personal information (doxxing).
- Is explicitly pornographic, depicts sexual acts, or depicts nudity outside of appropriately marked channels (if such channels are permitted by QommAdd).
- Shares pirated content.
- Impersonates any person or entity or falsely states or misrepresents your affiliation with a person or entity.
- Is otherwise objectionable or could put QommAdd's reputation or intellectual property at risk.
4.4. Content Moderation and Removal
QommAdd reserves the right, but has no obligation, to monitor, review, block, remove, or permanently delete any User Content that violates these Terms, our Community Guidelines (if any), or applicable laws and regulations, or that creates risk for QommAdd or negatively impacts other users. You acknowledge that QommAdd may use automated tools or manual review processes to enforce these standards.
Acceptable Use Policy
You agree to use the Services only for authorized and acceptable purposes and in compliance with these Terms and all applicable laws, rules, and regulations.
5.1. Prohibited Activities
In addition to the content restrictions above, you agree not to:
- Access or use the Services in a manner that compromises, breaks, or circumvents technical processes or security measures, or tests system vulnerabilities (unless authorized by a bug bounty program).
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Services.
- Use the Services to replicate or compete with QommAdd's Services.
- Engage in excessive or abusive usage that exceeds reasonable limits or interferes with the proper functioning of the Services.
- Abuse or defraud QommAdd or its systems.
- License, sell, lend, or transfer your account, username, or other unique identifier without our prior written approval.
- Use the Services to plan or commit any crime or other illegal act.
- Distribute "auto," "macro," or "cheat utility" programs or provide hacked/modded software through the Services.
Violation of these rules may result in the suspension or termination of your account and other appropriate legal action.
Intellectual Property Rights
6.1. QommAdd's Intellectual Property
All intellectual property rights in and to the QommAdd Services, including but not limited to its software, design, trademarks, logos, patents, trade secrets, and proprietary content, are exclusively owned by QommAdd. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose, subject to these Terms. You are prohibited from using QommAdd's intellectual property without our express written permission.
6.2. Your Intellectual Property
As stated in Section 4.1, you retain all intellectual property rights in your User Content, subject to the license you grant to QommAdd to operate the Services.
No Payment Obligation
7.1. Current Free Service
QommAdd is currently provided free of charge to its users. There are no payment obligations for accessing or using the core features of the platform.
7.2. Future Monetization
QommAdd reserves the right to introduce fees or subscription models for certain features or for the Services as a whole in the future. We will provide you with appropriate notice before any such changes take effect, and your continued use of the Services after such notice will constitute your acceptance of the new fees or subscription terms.
Third-Party Services and Responsibility
Users acknowledge that certain functionalities of QommAdd may rely on third-party services (e.g., cloud hosting, communication APIs, analytics providers). While QommAdd endeavours to select reputable third-party partners and enters into appropriate Data Processing Agreements (DPAs) with them to ensure data protection and compliance with our instructions, users understand that these third-party services operate under their own terms and privacy policies for their direct interactions with users or for data processing activities outside the scope of QommAdd's direct instructions. QommAdd disclaims responsibility for the independent actions or policies of such third parties beyond its contractual obligations to ensure secure and compliant data processing on its behalf.
Disclaimers
9.1. "As Is" and "As Available" Basis
The QommAdd Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, or that any defects will be corrected. We acknowledge that the service may experience planned downtime or unavailability due to factors beyond QommAdd's reasonable control, such as force majeure events.
9.2. No Warranties
To the fullest extent permitted by law, QommAdd explicitly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by applicable law, QommAdd shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if QommAdd has been advised of the possibility of such damages), arising out of or in connection with your use or inability to use the Services.
Indemnification
You agree to indemnify, defend, and hold harmless QommAdd, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- your access to or use of the Services;
- your User Content;
- your violation of these Terms; or
- your violation of any rights of another party, including intellectual property rights.
Termination
You may terminate your account at any time by following the instructions within the Services. QommAdd reserves the right to suspend or terminate your access to the Services, or any part thereof, at its sole discretion, without prior notice, for any reason, including but not limited to your breach of these Terms, engagement in prohibited activities, or any conduct that may harm QommAdd or its users. Upon termination, certain provisions of these Terms that by their nature should survive will remain in effect.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Delaware, USA, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through informal negotiation. If a dispute cannot be resolved informally, the parties agree to resolve it through binding arbitration administered by a mutually agreed-upon arbitration service, or, if arbitration is not feasible, exclusively in the state or federal courts located in Delaware, USA.
Miscellaneous
14.1. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and QommAdd regarding the use of the Services.
14.2. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
14.3. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Changes to These Terms
We may revise these Terms from time to time. The most current version of the Terms will be posted on our website and will supersede all previous versions. We will notify you of material changes through appropriate methods, such as email alerts, in-app notifications, or prominent website banners. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
